Creator Terms of Service

1. Introduction and Acceptance

These Creator Terms of Service ("Creator Terms") constitute a legally binding agreement between you or the organization, company, or other entity you represent ("Creator," "you," or "your") and AltQuid, Inc. ("AltQuid," "we," "us," or "our"). These Creator Terms govern your access to and use of the Services in your capacity as a Creator on Brussle.

These Creator Terms supplement the Brussle Terms of Service (the "General Terms"). In the event of a conflict between these Creator Terms and the General Terms, these Creator Terms control with respect to your activities as a Creator. You are bound by both agreements.

By registering for a Creator account through the Creator Dashboard, or by accessing or using the Services as a Creator, you agree to be bound by these Creator Terms and the General Terms. If you do not agree, you must not access or use the Services as a Creator.

AltQuid reserves the right to modify these Creator Terms at any time. We will notify you of material changes via email or through the Platform. Your continued use of the Services following such notice constitutes acceptance of the revised Creator Terms.

2. Definitions

Capitalized terms not defined here have the meanings assigned in the General Terms.

  • "AI Clone" means the AI-powered digital version of a Creator, generated from Creator Content and made available through the Platform.

  • "Authorized Users" means any person or entity who accesses and uses the Services under Creator's account with Creator's authorization.

  • "Clone Output" means any content, materials, or responses generated by an AI Clone in response to End User interactions.

  • "Creator Content" means all content provided by Creator or Authorized Users to the Services for the purpose of creating, training, or configuring an AI Clone, including text, images, voice recordings, documents, knowledge bases, and other materials.

  • "Creator Dashboard" means AltQuid's online creator platform through which Creators create, manage, configure, and monetize their AI Clones.

  • "End Users" means individuals who access and interact with a Creator's AI Clone through the Platform.

  • "Services" means the Brussle platform and all associated software, tools, features, and services made available by AltQuid, including the Creator Dashboard, AI Clone creation and hosting, monetization tools, and related documentation.

3. Services and Support

3.1. Subject to these Creator Terms, AltQuid will provide Creator with access to the Services through the internet, including the ability to create, configure, train, and monetize AI Clones via the Creator Dashboard. The Services are subject to modification at AltQuid's sole discretion. AltQuid will use reasonable efforts to provide prior notice of material modifications.

3.2. Creator authorizes AltQuid to make Creator's AI Clone available to End Users through the Services, including by listing it on discovery pages and search results within the Platform.

3.3. AltQuid will undertake commercially reasonable efforts to make the Services available. AltQuid reserves the right to suspend Creator's access to the Services: (i) for scheduled or emergency maintenance, or (ii) if Creator is in breach of these Creator Terms or the General Terms, including failure to pay any amounts due.

3.4. AltQuid will provide reasonable support to Creator for the Services during normal business hours, Monday through Friday.

4. Creator Content and Data

4.1. To create an AI Clone, Creator or Authorized Users may provide AltQuid with certain content, including text, images, voice recordings, documents, knowledge bases, personality descriptions, and other materials. All content provided by Creator or Authorized Users into the Services constitutes "Creator Content."

4.2. Creator is solely responsible for the accuracy, completeness, quality, and legality of all Creator Content. This includes complying with all applicable laws and having all rights and permissions required to submit Creator Content to the Services.

4.3. Creator represents and warrants that Creator owns or has obtained all necessary rights, licenses, consents, and permissions to provide the Creator Content to AltQuid for the purposes contemplated by these Creator Terms, including any voice recordings, images, or likenesses.

4.4. Creator shall bind all Authorized Users to the provisions of these Creator Terms applicable to their use of the Services and shall ensure Authorized Users comply with such provisions.

5. Creator Restrictions and Responsibilities

5.1. Creator will not, and will not permit any third party, including Authorized Users, to:

(a) Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying architecture of the Services or any related AI/ML models (except to the extent such prohibition is contrary to applicable law);

(b) Copy, modify, translate, or create derivative works based on the Services without AltQuid's prior written consent;

(c) Use the Services, AI Clones, or Clone Output to develop or train any language model, machine learning model, or competing product or service;

(d) Intentionally or knowingly use or cause the Services or any AI Clone to generate infringing, illegal, or harmful content;

(e) Use the Services in any manner that violates any applicable law or regulation, or infringes the rights of any person or entity;

(f) Remove any proprietary notices, copyright markings, or product identification from the Services.

5.2. Creator is solely responsible and liable for all uses of the Services under Creator's account, including the creation and use of AI Clones and all acts and omissions of Authorized Users.

5.3. Creator will use reasonable efforts to prevent unauthorized use of the Services and will promptly notify AltQuid of any unauthorized use that comes to Creator's attention.

5.4. Creator will cooperate with AltQuid in connection with the performance of these Creator Terms by making available such personnel and information as may be reasonably required.

5.5. Creator is responsible for maintaining the security of Creator's account, passwords, and files, and for all activity conducted through Creator's account.

5.6. Creator acknowledges that the Services operate with or use APIs and services provided by third parties ("Third-Party Services"). AltQuid is not responsible for the operation of any Third-Party Services. Any exchange of data between Creator and a third-party provider is governed by that third party's terms and conditions.

6. Confidentiality

6.1. Each party (the "Receiving Party") understands that the other party (the "Disclosing Party") has disclosed or may disclose information relating to the Disclosing Party's technology or business ("Proprietary Information").

6.2. The Receiving Party agrees: (i) not to divulge Proprietary Information to any third person; (ii) to give access to Proprietary Information solely to those employees and agents with a need to know for purposes of these Creator Terms; and (iii) to take reasonable security precautions to protect against disclosure or unauthorized use of Proprietary Information.

6.3. The foregoing obligations do not apply to information that the Receiving Party can demonstrate: (a) is or becomes generally available to the public through no fault of the Receiving Party; (b) was in its possession prior to receipt from the Disclosing Party; (c) was independently developed without use of any Proprietary Information; or (d) was rightfully disclosed to it by a third party without restriction.

6.4. Nothing in these Creator Terms prevents the Receiving Party from disclosing Proprietary Information pursuant to a judicial or governmental order, provided that the Receiving Party gives the Disclosing Party reasonable prior notice to contest such order where legally permitted.

6.5. For the avoidance of doubt, Creator Content is Creator's Proprietary Information. AltQuid may aggregate and anonymize data derived from the Services for the purpose of evaluating and improving the Services and for other legitimate business purposes.

7. Intellectual Property Rights

7.1. AltQuid IP. As between the parties, AltQuid retains all right, title, and interest in and to the Services, AI Clone technology, and all related intellectual property, including the underlying infrastructure, systems, algorithms, source code, and datasets, and any modifications or derivative works thereof ("AltQuid IP"). AltQuid IP does not include Creator Content.

7.2. Creator Content. As between the parties, Creator retains all right, title, and interest in and to Creator Content and the intellectual property rights therein.

7.3. License from Creator to AltQuid. Creator grants AltQuid a non-exclusive, worldwide, royalty-free, sublicensable license to use, copy, reproduce, distribute, display, modify, and make derivative works of Creator Content solely for the purpose of providing and improving the Services and performing under these Creator Terms. This license includes the right to host, display, and feature the Creator's AI Clone on publicly accessible pages of the Services.

7.4. License from AltQuid to Creator. Subject to Creator's compliance with these Creator Terms, AltQuid grants Creator a non-exclusive, non-transferable, revocable license to access and use the Services during the term of these Creator Terms. Any AI Clone created based on Creator Content will be exclusively provided to Creator, and AltQuid will not provide such AI Clone to other creators.

7.5. California AB 2602. If any content, including a Creator's AI Clone, created through the Services is deemed a digital replica under California Assembly Bill 2602, Creator hereby grants AltQuid a limited, non-exclusive license to create and use such digital replica solely for the purpose of providing the Services as requested by Creator.

7.6. Feedback. Any suggestions, ideas, enhancement requests, feedback, or recommendations provided by Creator relating to the Services are hereby assigned to AltQuid. AltQuid may use such feedback without restriction or obligation to Creator.

8. Monetization and Payment

8.1. Platform Fee. AltQuid retains a platform fee of 20% of gross subscription revenue generated by each Creator's AI Clone(s). The remaining 80% is payable to Creator, subject to the payout terms below.

8.2. Payouts. Creator earnings are processed through Stripe Connect. By participating as a Creator, you agree to Stripe's Connected Account Agreement and acknowledge that payout timing, minimums, and processing are subject to Stripe's terms and policies. AltQuid is not responsible for delays, errors, or failures caused by Stripe or Creator's financial institution.

8.3. Pricing. Creator may set subscription pricing for access to Creator's AI Clone(s), subject to any Platform minimums or guidelines communicated by AltQuid.

8.4. Tax Documentation. Creator's receipt of payments is contingent on Creator providing AltQuid all information and documentation necessary to effectuate payment, including IRS Form W-9 (or applicable equivalent). Creator is responsible for all taxes associated with Creator payments, excluding taxes based on AltQuid's net income.

8.5. Late Payments. If AltQuid owes Creator any amount and fails to pay when due, AltQuid will pay interest on the overdue amount at the rate of 1.0% per month or the highest rate permitted by applicable law, whichever is lower.

8.6. No Refunds on Platform Fees. All platform fees are non-cancellable and non-refundable, except as expressly agreed by AltQuid in writing. AltQuid reserves the right to withhold or forfeit pending Creator earnings associated with violations of these Creator Terms or the General Terms.

9. Clone Subscriptions and End Users

9.1. End Users may access and interact with Creator's AI Clone through the Platform, subject to Creator's visibility settings and these Creator Terms.

9.2. Creator may determine the nature and format of Clone Output and may impose additional restrictions on the types of interactions End Users may have with Creator's AI Clone.

9.3. Creator is responsible for the overall experience provided by Creator's AI Clone to End Users, including ensuring the AI Clone's behavior is consistent with Creator's brand and these Creator Terms.

9.4. AltQuid is not responsible for End User interactions with Creator's AI Clone or for any claims arising from Clone Output.

10. AI Clone Output Disclaimer

10.1. Clone Output is generated through artificial intelligence and machine learning processes and is not tested, verified, endorsed, or guaranteed to be accurate, complete, or current by AltQuid.

10.2. Creator acknowledges that Clone Output may contain inaccuracies, errors, or information that is incomplete, outdated, or inappropriate. Creator should independently review and verify Clone Output.

10.3. AltQuid is not responsible for verifying the accuracy of Creator Content or End User inputs, and is not responsible for any inaccuracies or errors in Clone Output resulting from errors in Creator Content or End User inputs.

10.4. Creator acknowledges that an AI Clone or its Clone Output may bear resemblance to outputs generated for other persons or entities who provide similar inputs.

11. Memory and Learning Systems

11.1. AI Clones may retain context from training data and prior interactions to provide more personalized responses ("Memory"). Memory relies on machine learning patterns and does not constitute a permanent or infallible record.

11.2. Creator can manage Memory settings for their AI Clone through the Creator Dashboard, including adjusting what the AI Clone retains and how it uses prior context.

11.3. AltQuid does not guarantee perfect recall, accuracy, or consistency of Memory features. The existence of Memory does not change the nature of Clone Output as machine-generated content subject to the disclaimers in Section 10.

11.4. Data retention for Memory features is governed by AltQuid's data retention policies and applicable law.

12. Content Moderation

12.1. Creator is responsible for monitoring the behavior of Creator's AI Clone and ensuring it does not produce content that violates these Creator Terms, the General Terms, or applicable law.

12.2. AltQuid has the right, but not the obligation, to monitor, review, or moderate Clone Output and Creator Content. AltQuid may remove any content or suspend or disable any AI Clone that AltQuid believes, in its sole discretion, violates these Creator Terms, the General Terms, or applicable law.

12.3. If AltQuid receives a notice or claim that any Creator Content or Clone Output may infringe or violate the rights of a third party, AltQuid may suspend the relevant AI Clone or Creator Content pending investigation. Creator will cooperate with AltQuid in resolving any such claim.

13. Termination

13.1. By Creator. Creator may terminate these Creator Terms at any time by deactivating Creator's account through the Creator Dashboard or by contacting support@brussle.com.

13.2. By AltQuid. In the event of Creator's breach of these Creator Terms or the General Terms, AltQuid may terminate these Creator Terms by giving thirty (30) days' prior written notice to Creator, provided that these Creator Terms will not terminate if Creator has cured the breach prior to the expiration of such thirty-day period. AltQuid may also terminate immediately for material breaches that cannot be cured.

13.3. Effects of Termination. Upon termination:

(a) Creator shall immediately discontinue use of the Services in a Creator capacity;

(b) Creator shall delete, destroy, or return all copies of AltQuid IP in Creator's possession;

(c) AltQuid will store Creator Content for a period of six (6) months following termination, after which AltQuid will delete all Creator Content;

(d) Termination does not affect Creator's obligation to pay any fees that became due before termination, nor does it entitle Creator to any refund.

13.4. Survival. The following sections survive termination: Section 2 (Definitions), Section 6 (Confidentiality), Section 7 (Intellectual Property Rights), Section 8 (Monetization and Payment, with respect to accrued obligations), Section 10 (AI Clone Output Disclaimer), Section 15 (Indemnification), Section 16 (Disclaimer of Warranties), Section 17 (Limitation of Liability), Section 18 (Governing Law and Disputes), and Section 20 (General Provisions).

14. Software Security

AltQuid represents and warrants that it will not knowingly include in any software provided to Creator any malicious code, disabling devices, trojans, or time bombs that intentionally disrupt, disable, or damage the operation of a network, computer system, or its components. If AltQuid fails to comply with this warranty, Creator may notify AltQuid in writing. AltQuid will, within thirty (30) days of receipt of such notice, either correct the noncompliance or provide Creator with a reasonable plan for correction. If the noncompliance is not corrected or a reasonably acceptable plan is not established during such period, Creator may terminate these Creator Terms as its sole and exclusive remedy.

15. Indemnification

Creator agrees to defend, indemnify, and hold harmless AltQuid and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

(a) Creator Content, including any claim that Creator Content infringes or violates the rights of a third party;

(b) The behavior and output of Creator's AI Clone;

(c) Creator's violation of these Creator Terms, the General Terms, or any applicable law;

(d) Any acts or omissions of Creator's Authorized Users.

16. Disclaimer of Warranties

THE SERVICES AND ALTQUID IP AND ANYTHING PROVIDED IN CONNECTION WITH THESE CREATOR TERMS ARE PROVIDED "AS-IS," WITHOUT ANY WARRANTIES OF ANY KIND. ALTQUID AND ITS AFFILIATES, AGENTS, LICENSORS, AND SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

17. Limitation of Liability

IN NO EVENT WILL ALTQUID OR ITS AFFILIATES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THESE CREATOR TERMS OR THE SERVICES, INCLUDING LOSS OF REVENUE, ANTICIPATED PROFITS, LOST BUSINESS, OR LOST SALES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ALTQUID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE TOTAL AGGREGATE LIABILITY OF ALTQUID UNDER THESE CREATOR TERMS SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100); OR (B) THE TOTAL FEES PAID BY ALTQUID TO CREATOR DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY AND EVEN IF ALTQUID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

18. Governing Law and Disputes

These Creator Terms are governed by the laws of the State of California, without regard to its conflict of laws provisions. Any dispute arising from or related to these Creator Terms is subject to the dispute resolution and binding arbitration provisions in Section 23 of the General Terms, which are incorporated herein by reference.

19. Marketing and Publicity

AltQuid is permitted to disclose that Creator is a Brussle creator to any third party, including by listing Creator's name, brand, and likeness on the Platform, in marketing materials, and on AltQuid's website. Creator is not obligated to participate in press announcements, events, trade shows, or other promotional activities.

20. General Provisions

Severability. If any provision of these Creator Terms is found unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Creator Terms will otherwise remain in full force and effect.

Assignment. These Creator Terms are not assignable, transferable, or sublicensable by Creator without AltQuid's prior written consent. AltQuid may assign these Creator Terms with written notice to Creator.

Entire Agreement. These Creator Terms, together with the General Terms, the Privacy Policy, and any Additional Terms, constitute the complete and exclusive agreement between the parties regarding the subject matter hereof and supersede all prior agreements, communications, and understandings relating to the same subject matter.

No Agency. Nothing in these Creator Terms creates an employment, agency, partnership, or joint venture relationship between Creator and AltQuid. Creator has no authority to bind AltQuid in any respect.

Attorneys' Fees. In any action or proceeding to enforce rights under these Creator Terms, the prevailing party will be entitled to recover reasonable costs and attorneys' fees.

Force Majeure. AltQuid will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control.

Notices. All notices under these Creator Terms will be in writing and delivered via email. Notices to AltQuid must be sent to support@brussle.com. Notices to Creator will be sent to the email address associated with Creator's account.
